GENERAL COUNSEL:  eA’s General Counsel shall have the sole authority to bind eA in third-party transactions, subject to internal controls regarding the nature, scope, and monetary level of each transaction. For avoidance of doubt, unless authorized by eA’s General Counsel in writing, no officer, agent, or employee shall have any power or authority to bind eA to any contract or engagement, or to pledge its assets, encumber its credit or render it liable for any purpose or for any amount.
